These Terms of Service ("Terms") govern your access to and use of SEOSlate, a white-label SEO reporting platform (the "Service") operated by Greeny Host LLC ("Greeny Host", "we", "us", or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
01 Agreement to terms
By accessing or using SEOSlate, you confirm that you can form a binding contract with us and that you accept these Terms and our Privacy Policy, which is incorporated by reference. If you use the service on behalf of a business or agency, you represent that you are authorized to bind that organization to these Terms, and "you" refers to that organization.
02 The service
SEOSlate lets agencies and freelancers run automated SEO audits of websites and deliver branded, white-label reports to their own clients. The service may include site scanning, report generation and scheduling, an emailing system, dashboards, and optional integrations with third-party services such as Google Search Console.
We may add, change, or remove features over time. We aim to give reasonable notice of material changes, but we are not liable for modifying or discontinuing any part of the service.
03 Accounts & eligibility
You must provide accurate account information and keep it up to date. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly at hello@seoslate.com if you suspect unauthorized use.
You must be at least 18 years old, or the age of majority in your jurisdiction, to use the service.
04 Acceptable use
You agree not to:
- Use the service to scan or send reports about websites you do not own or are not authorized to analyze;
- Send unsolicited bulk email (spam) or violate anti-spam laws such as CAN-SPAM, GDPR, or your local equivalent through our emailing features;
- Attempt to breach, probe, or circumvent the security of the platform or other users' data;
- Reverse-engineer, resell, or sublicense the underlying software except as expressly permitted;
- Overload or interfere with the service, or use it to store or transmit malicious code;
- Use the service for any unlawful, infringing, or deceptive purpose.
You are responsible for your own compliance with email and data-protection laws when you send reports to your clients from your connected email or domain.
05 Plans, billing & refunds
Paid plans are billed in advance on a recurring basis (monthly or annually) through our payment processor, Stripe. By subscribing, you authorize us to charge the applicable fees to your payment method until you cancel.
- Free trial. If a free trial is offered, it converts to a paid subscription at the end of the trial unless you cancel beforehand.
- Renewals. Subscriptions renew automatically for the same term unless cancelled before the renewal date.
- Cancellation. You may cancel at any time from your account settings. Cancellation stops future charges; access continues until the end of the current billing period.
- Refunds. Except where required by law, fees are non-refundable and partial periods are not prorated.
- Price changes. We may change pricing with reasonable prior notice; changes apply from your next billing cycle.
- Taxes. Fees are exclusive of taxes; you are responsible for any applicable taxes.
06 Client data & your role
When you use SEOSlate to process information about your own clients and their websites, you are the data controller and SEOSlate acts as a data processor that handles that information on your behalf and per your instructions.
You are responsible for having a lawful basis to process your clients' data, for any required notices or consents, and for the accuracy of the information you enter. You grant us the limited rights necessary to host, process, and display that data to deliver the service. Our handling of personal data is described in our Privacy Policy.
07 Google APIs & third-party services
The service integrates with third-party providers, including Google. If you connect Google Search Console, your use of those features is also subject to Google's terms, and our access to your Google data is governed by our Privacy Policy.
We are not responsible for third-party services we do not control. Their availability, terms, and data practices are governed by those third parties. You may disconnect any integration at any time from your account settings, or revoke Google access at myaccount.google.com/permissions.
08 Intellectual property
The SEOSlate platform, software, and branding are owned by us and our licensors and are protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the service during your subscription.
You retain ownership of your own logo, brand assets, and content that you upload. The reports you generate and deliver to your clients are yours to use. You grant us a limited license to process your brand assets solely to render your white-label reports.
09 Disclaimers
The service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose, merchantability, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or fully secure.
SEO audit results, scores, and recommendations are provided for informational purposes and depend on third-party data sources such as Google. We do not guarantee any particular search ranking, traffic, or business outcome.
10 Limitation of liability
To the maximum extent permitted by law, SEOSlate and its owners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from your use of the service.
Our total aggregate liability for any claim relating to the service will not exceed the amount you paid us in the twelve (12) months before the event giving rise to the claim.
11 Termination
You may stop using the service and close your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the service in a way that risks harm to others or to us.
On termination, your right to use the service ends. We may delete your account data after a reasonable period, subject to our Privacy Policy and any legal retention obligations. Sections that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will survive.
12 Governing law & disputes
These Terms are governed by the laws of the State of New Mexico, United States, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the competent courts located in the State of New Mexico, United States for any dispute arising from these Terms, except where mandatory local law provides otherwise.
13 Changes to these terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you. Your continued use of the service after changes take effect constitutes acceptance of the revised Terms.
